Welcome to Talen.ai (“Talen AI”, “we”, “our”, or “us”). These Terms and Conditions
(“Terms”) constitute a legally binding agreement between you and Talen AI governing
your access to and use of Talen AI’s website, web application, Chrome extension, and
related services (collectively, the “Services”).

PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY
REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR
USE OUR SERVICES.

1. ELIGIBILITY
To use our Services, you must:
● Be at least 18 years of age
● Be capable of forming a binding contract with Talen AI
● Not be prohibited from using the Services under applicable laws
● Comply with these Terms and all applicable local, state, national, and
international laws and regulations
If you are using the Services on behalf of a company, organization, or other entity, you
represent and warrant that:
● You have the authority to bind that entity to these Terms
● You agree to these Terms on behalf of that entity
● That entity agrees to be responsible for your and its users’ compliance with these
Terms

2. ACCOUNT REGISTRATION AND SECURITY

a. Account Creation
To access certain features of our Services, you may need to register for an account.
When registering, you agree to:
● Provide accurate, current, and complete information
● Maintain and promptly update your account information
● Keep your account credentials confidential and secure
● Accept responsibility for all activities that occur under your account
● Notify us immediately of any unauthorized use of your account or any other
breach of security

b. Account Types
We may offer different types of accounts, including free accounts and paid subscription
accounts, each with different features, limitations, and obligations.

c. Account Verification
We may, at our discretion, verify your identity or account information through various

authentication.
d. Account Restrictions
You may not:

● Use another user’s account without permission
● Sell, transfer, or assign your account to another person or entity

e. Account Termination

3. LICENSE TO USE

a. Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non
transferable, non-sublicensable, revocable license to:
● Access and use the Services for your personal or internal business purposes
● Install and use the Talen AI Chrome Extension in accordance with these Terms
● Use any content, features, functions, or other materials provided through the
Services
b. Restrictions
You shall not:
● Copy, modify, distribute, sell, lease, loan, or trade the Services or any part thereof
● Reverse engineer, decompile, disassemble, or attempt to derive the source code
of the Services
● Remove any copyright, trademark, or other proprietary notices
● Use the Services in any manner that could damage, disable, overburden, or impair
our systems
● Use the Services for any illegal purpose or in violation of any applicable laws
● Access any part of the Services through automated means (bots, scripts, etc.)
without our express permission
● Use the Services to build a competitive product or service
● Attempt to gain unauthorized access to any portion of the Services or any related
systems or networks
● Use the Services in a way that violates the rights of third parties
c. Chrome Extension
The Talen AI Chrome Extension is subject to additional terms:
● You may only install it on browsers and devices you own or control
● You must comply with the Chrome Web Store terms of service
● You may not tamper with or circumvent any security features
● You may not use it to extract data beyond what is permitted in these Terms
● We may update the Extension automatically or require you to update it manually
d. Reservation of Rights
All rights not expressly granted to you are reserved by Talen AI and its licensors. You
acknowledge that you do not acquire any ownership rights in the Services by using
them.

4. PROHIBITED CONDUCT

You agree not to engage in any of the following activities:
a. Illegal Activities
● Using the Services for any illegal purpose
● Violating any applicable laws, regulations, or third-party rights
● Promoting or facilitating illegal activities
b. Data Collection and Privacy
● Scraping platforms against their terms of service
● Harvesting unauthorized data from our Services or third-party platforms
● Collecting personal information from users without proper consent
● Using our Services to violate privacy laws or regulations
c. Technical Abuse
● Reverse engineering our software or attempting to access source code
● Introducing viruses, trojans, worms, logic bombs, or other harmful materials
● Attempting to gain unauthorized access to our systems or networks
● Interfering with the proper functioning of the Services
● Bypassing measures designed to prevent or restrict access
d. Content Restrictions
● Uploading, posting, or transmitting content that is illegal, harmful, threatening,
abusive, harassing, defamatory, or otherwise objectionable
● Impersonating another person or entity
● Creating misleading or fraudulent profiles or information
● Sending unsolicited communications, promotions, or advertisements (spam)
● Uploading content that infringes intellectual property rights
e. Competitive Use
● Using our Services to develop competing products or services
● Extracting data from our Services for competitive analysis
● Benchmarking our Services for competitive purposes without permission
f. Misrepresentation
● Misrepresenting your identity or affiliation
● Providing false or misleading information
● Pretending to be associated with Talen AI or our partners

5. SUBSCRIPTION AND BILLING

a. Subscription Options
We offer various subscription plans with different features, limitations, and pricing.
Current pricing and subscription details are available on our website.
b. Payment Terms
When you purchase a subscription or any paid features:
● You agree to pay all fees in accordance with the billing terms
● You must provide current, complete, and accurate billing information
● You authorize us to charge your designated payment method for all fees
● Fees are exclusive of taxes unless stated otherwise
● You are responsible for any applicable taxes, which may be added to your bill
● We may use third-party payment processors who collect and process your
payment information
c. Auto-Renewal
Unless otherwise stated:
● Subscriptions automatically renew for additional periods equal to your initial
subscription period
● Auto-renewals continue until you cancel
● You may cancel auto-renewal at any time through your account settings or by
contacting us
d. Free Trials
We may offer free trials of our subscription services:
● Free trial periods begin on the date you sign up
● At the end of the trial, you will be automatically charged for the subscription
unless you cancel before the trial ends
● We may limit eligibility for free trials at our discretion
e. Refunds
Our refund policy is as follows:

b. Talen AI’s Rights
Talen AI and its licensors retain all right, title, and interest in and to:
● The Services and all components thereof
● All intellectual property rights in the Services
● All modifications, improvements, and derivative works
● All feedback, suggestions, or ideas provided by you regarding the Services
c. Your Content
You retain ownership of any content you upload, submit, or create through our Services
(“User Content”). By providing User Content, you grant us a worldwide, non-exclusive,
royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare
derivative works of, display, and perform the User Content in connection with the
Services and our business operations.
d. Restrictions
You may not:
● Use Talen AI’s name, logo, or trademarks without our prior written consent
● Remove, alter, or obscure any copyright, trademark, or other proprietary notices

OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO,
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
TITLE, AND NON-INFRINGEMENT.

b. No Guarantees
WE DO NOT WARRANT THAT:
● THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS
● THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
● THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL
BE ACCURATE OR RELIABLE
● THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER
MATERIAL PURCHASED OR OBTAINED THROUGH THE SERVICES WILL MEET
YOUR EXPECTATIONS
● ANY ERRORS IN THE SERVICES WILL BE CORRECTED

c. Content Accuracy
WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY,
COMPLETENESS, OR TIMELINESS OF ANY CONTENT AVAILABLE THROUGH THE
SERVICES, INCLUDING USER CONTENT, THIRD-PARTY CONTENT, OR CONTENT
GENERATED BY OUR SYSTEMS.

d. Third-Party Services
WE MAKE NO WARRANTIES REGARDING THIRD-PARTY SERVICES ACCESSIBLE
THROUGH OR INTEGRATED WITH OUR SERVICES.

e. Security Limitations
WHILE WE TAKE REASONABLE STEPS TO SECURE OUR SERVICES, NO INTERNET
TRANSMISSION OR ELECTRONIC STORAGE IS COMPLETELY SECURE, AND WE
CANNOT GUARANTEE ABSOLUTE SECURITY.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

IN NO EVENT SHALL TALEN AI, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS,
PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
● ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE
DAMAGES
● LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
● DAMAGES RESULTING FROM INTERRUPTION OF SERVICE, COMPUTER VIRUS,
OR SYSTEM
